These Terms of Service (the "Terms") form a binding legal agreement between you ("Merchant," "you," or "your") and Sentient Bean LLC, a Pennsylvania limited liability company doing business as PayForItPro ("PayForItPro," "we," "us," or "our"), governing your access to and use of the PayForItPro payment platform, website, APIs, dashboards, widgets, and related services (collectively, the "Services").
By creating an account, clicking "I agree," or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
PayForItPro provides software and a merchant dashboard that lets you accept card and other electronic payments from your customers. Payment processing itself is performed by our payment processor, Stripe, Inc. ("Stripe"), under a separate Stripe Connected Account Agreement between you and Stripe. PayForItPro is not a bank, money transmitter, or payment processor of record; we are a software platform that facilitates your use of Stripe.

You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account.
All payment processing through the Services is provided by Stripe and is subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. By accepting these Terms and onboarding with PayForItPro, you also agree to the Stripe Connected Account Agreement, as it may be modified by Stripe from time to time, as a condition of using the Services. As a condition of PayForItPro enabling payment processing through Stripe, you authorize PayForItPro to obtain, use, and share information about your Stripe Connected Account to provide and improve the Services.
In consideration for the Services, you agree to pay the fees set forth on our pricing page as in effect at the time of each transaction, which are incorporated into these Terms by reference. Unless otherwise stated, fees consist of a per-transaction percentage and may include fixed-amount components, chargeback fees, refund fees, and other fees disclosed at the point of enablement. Stripe also charges its own fees, which are separate from ours and are deducted by Stripe before funds are settled to you. We may change our fees on 30 days' prior notice; your continued use of the Services after a fee change constitutes acceptance of the new fees.
Funds from successful transactions are held by Stripe and paid out to the bank account you designate during onboarding, on the schedule determined by Stripe (typically daily or weekly). PayForItPro does not hold or custody your funds. Stripe may, in its discretion, place holds or reserves on your account for risk, compliance, or dispute reasons. We may pass along Stripe's instructions and reflect reserves and holds in the dashboard.
You are responsible for resolving customer disputes, issuing refunds where appropriate, and responding to chargebacks. If a customer initiates a chargeback, the disputed amount plus any applicable chargeback fee will be debited from your next payout or owed to us on demand. You agree to display your customer support email and phone, a clear refund policy, and a recognizable statement descriptor for your business to reduce disputes.
You may not use the Services for any illegal purpose or to accept payment for:
You also agree not to: (a) introduce malware, scrape the Services, or interfere with their operation; (b) use the Services to test stolen cards; (c) submit false or misleading transaction information; or (d) circumvent any access controls or rate limits.
You are solely responsible for: (a) the products and services you sell; (b) compliance with all laws that apply to your business, including sales tax collection and remittance, consumer protection, and industry-specific regulations; (c) the content you publish through PayForItPro-hosted checkout pages or widgets; (d) customer service and dispute resolution; and (e) maintaining a clear, accurate, and accessible privacy policy and refund policy on your own website.
Our handling of personal information is described in our Privacy Policy. For cardholder data, Stripe acts as the processor of record and is PCI-DSS certified; PayForItPro never stores full card numbers, CVV codes, or bank credentials. You agree not to transmit prohibited cardholder data through PayForItPro APIs or support channels. You are the controller of the personal information you collect from your own customers through the Services; we act as a processor of that information on your behalf to the extent we handle it in connection with the Services.
PayForItPro and its licensors own all right, title, and interest in and to the Services, including all software, trademarks, logos, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your own business purposes during the term of this agreement. You retain ownership of your content and data; by using the Services you grant us a license to host, copy, transmit, and display your content solely as needed to provide the Services.
We may suspend or terminate your access to the Services at any time, with or without notice, if: (a) we suspect fraudulent, illegal, or abusive activity; (b) you breach these Terms or the Stripe Connected Account Agreement; (c) required by law, regulation, or an order from a government authority; or (d) Stripe terminates your Connected Account. You may terminate your account at any time by contacting support. Termination does not relieve you of obligations that by their nature survive, including payment obligations, indemnities, and limitations of liability.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL BE ACCURATE OR RELIABLE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PAYFORITPRO OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PAYFORITPRO IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify, defend, and hold harmless PayForItPro and its affiliates, officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; (d) your products, services, content, or dealings with your customers; or (e) any chargeback, refund, reversal, or fine imposed on us or Stripe as a result of your transactions.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. You and PayForItPro agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of those courts. You and PayForItPro each waive any right to a jury trial. To the fullest extent permitted by law, any claim must be brought in your individual capacity and not as a plaintiff or class member in any class, collective, or representative action.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the dashboard at least 15 days before they take effect, unless a shorter period is required by law or necessary for security. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
These Terms, together with our Privacy Policy and any pricing page referenced in them, constitute the entire agreement between you and PayForItPro regarding the Services and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
